Driving & Operation Safety. SAFE OPERATION IS YOUR RESPONSIBILITY. While our products are designed for energy support, you agree that Iron Mile Fuel is not liable for any accidents, injuries, or fatalities resulting from your operation of a motor vehicle or heavy machinery. Do not use this product to intentionally stay awake beyond your legal Hours of Service (HOS) or when you are feeling medically fatigued.

 
SECTION 16 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL Iron Mile Fuel, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

You agree to indemnify, defend and hold harmless Iron Mile Fuel, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

SECTION 18 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

SECTION 20 - ASSIGNMENT
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

SECTION 21 - MANDATORY ARBITRATION AND CLASS ACTION WAIVER 

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

21.1 Binding Arbitration. You and Iron Mile Fuel agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the purchase and use of any Products shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the State of Wyoming.

21.2 Class Action Waiver. YOU AND IRON MILE FUEL AGREE THAT ANY CLAIMS WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims.

21.3 Jury Trial Waiver. By agreeing to arbitration, you understand that you are waiving the right to a trial by jury.

SECTION 22 - HEADINGS
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

22.1 User Content (RigView Challenge). By participating in any social media contest (e.g., #RigView Challenge), you grant Iron Mile Fuel a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, and display your submitted photos for marketing purposes.

22.2 Contest Safety. Participants must only take photographs when their vehicle is legally and safely parked. Iron Mile Fuel expressly disclaims liability for any traffic violations or accidents occurring during the creation of contest entries.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

FOR AFFILIATES

RELATIONSHIP OF PARTIES

The Affiliates and the Company explicitly agree:

· Independent Contractor Status: The Affiliates is an Independent Contractor. This is NOT an employment agreement. No employer-employee relationship is created.

· No Benefits: The Affiliate is not eligible for health insurance, retirement plans, or paid time off.

· NO unemployment benefits: Because the Affiliates is a Contractor, they are NOT eligible for unemployment insurance benefits.

· Tax Liabilities: The Affiliates is solely responsible for all federal, state, and local taxes. The Company will NOT withhold any taxes.

· Age Representation: The Affiliates represents and warrants that they are at least eighteen (18) years of age on the Effective Date and possess the full legal capacity to enter into this binding Agreement.

AUTONOMY AND TOOLS

· Control: The Affiliates has FULL control over their hours, location, and methods of promotion. The Company does not supervise or micromanage daily tasks.

· Equipment: The Affiliates shall use their own personal equipment (smartphone, computer, etc.) to perform services.

· Reward Disclaimer: The Company reserves the right, at its sole discretion, to substitute any milestone reward listed above with an alternative product of equal or greater value, or an equivalent cash reward, in the event that the listed product is discontinued, unavailable, or not yet released. 

All referred sales are subject to a 30-day holding period (after customer received their products. e.g.. Sam purchased on July 1st. and got the products on July 3rd. the commission will be cleared on 4th of August. ) before commissions are cleared for payout. If an order is canceled, fully or partially refunded, or results in a credit card chargeback during this holding period, the corresponding commission will be automatically voided and forfeited.

· Tax Compliance & Payout Holds: The Affiliates is solely responsible for all tax liabilities. Through the Shopify Collabs platform, the affiliate will be prompted to submit a Form W-9 once their total annual earnings reach the IRS threshold of $599.99 USD. If the affiliate fails to submit a valid W-9 upon reaching this threshold, Shopify Collabs and the Company will automatically cap and freeze all subsequent payouts until compliance is met. The Company will issue a Form 1099-NEC for annual earnings of $600 or more. The Company is not responsible for any delayed payouts caused by the affiliate failure to provide required tax documentation.

 COMPLIANCE

· FTC Disclosure: Every post must include clear tags such as #ad or #ironmilefuelpartner in accordance with FTC guidelines.

· FDA, FTC & Content Monitoring: The affiliate shall strictly comply with all rules and regulations of the FDA and FTC regarding dietary supplements. The affiliate must NOT make any "disease claims" or "drug claims," or any false, misleading, unverified, or exaggerated claims. This includes, but is not limited to, claiming, implying, or suggesting that the products can diagnose, treat, cure, mitigate, or prevent any disease, medical condition, or illness. The affiliate may only use structure/function claims and promotional language that have been explicitly pre-approved in writing by the Company. The Company reserves the right to monitor the affiliate social media accounts and may mandate the immediate removal, deletion, or modification of any post that, in the Company's sole discretion, violates FDA/FTC regulations or Company policies. Failure to comply immediately will result in termination.

The Affiliate is strictly prohibited from using AI-generated synthetic media, deepfakes, unauthorized AI voice clones, or synthetic avatars to represent, endorse, or promote the Company’s products. All promotional content must represent the affiliate’s genuine, human personal experience.

CONDUCT (Morals Clause)

Immediate termination of this Agreement and forfeiture of any pending commissions shall occur if the affiliate:

(a) engages in any illegal activities.

(b) violates any FDA/FTC compliance rules as stated in Section 4; or

(c) commits any act or becomes involved in any situation or occurrence that brings the affiliate into public disrepute, contempt, scandal, or ridicule, or that offends public morals, or which reflects unfavorably upon the Company or its brand image.

TERMINATION

· Either party may terminate this Agreement at any time with a 2-week notice through email.

· Upon termination, all codes are deactivated, and the affiliate must remove brand references from social bios.

GOVERNING LAW AND JURISDICTION

· This Agreement shall be governed by the laws of the State of Wyoming.

· Any legal proceedings shall be brought exclusively in the state or federal courts located in Wyoming.

· Both parties consent to the personal jurisdiction of such courts.

INTELLECTUAL PROPERTY & OWNERSHIP

· Work Made for Hire: All content created by the affiliate for the Company (videos, photos, captions) is a "work made for hire" under U.S. Copyright law.

· Assignment: To the extent that any such content does not qualify as a "work made for hire" under applicable law, the affiliate hereby irrevocably assigns, transfers, and conveys to the Company all rights, titles, and interests, including but not limited to copyrights, in and to the content created during this program. The Company owns the content in perpetuity and may use, modify, edit, or distribute it for any promotional purpose globally without further approval or payment.

INDEMNIFICATION

The affiliate agrees to indemnify, defend, and hold the Company, its officers, and affiliates harmless from and against any and all claims, damages, liabilities, government fines (including those imposed by the FDA or FTC), losses, and legal fees resulting from the affiliate's negligence, breach of this Agreement, or any unauthorized or illegal claims made about the Company's products. The affiliate shall assume full personal, financial, and legal responsibility for any violation of FDA regulations, FTC guidelines, or third-party intellectual property rights.

MARKETING & PROMOTION RESTRICTIONS

No Brand Bidding (PPC Restrictions): The affiliate is strictly prohibited from bidding on the Company’s trademarked terms, brand names (including "Iron Mile Fuel"), or any misspellings thereof on search engines (e.g., Google Ads, Bing Ads). The affiliate may not use the Company’s brand name in any paid search advertising copy or domain names. Violation of this clause will result in immediate termination and forfeiture of all unpaid commissions.

Coupon Code Restrictions: The affiliate's unique discount codes are intended strictly for their specific audience and personal promotion. The affiliate is strictly prohibited from submitting, posting, or sharing their discount codes on public coupon sites, deal forums (e.g., RetailMeNot, Honey, Reddit deals), or in the comment sections of the Company’s official social media advertisements. The Company reserves the right to void commissions on any sales traced to public coupon or deal sites.

Anti-Spam Policy: The affiliate must strictly comply with the CAN-SPAM Act and may not send unsolicited commercial emails (spam) containing their affiliate links, discount codes, or Company promotions. Promotional emails may only be sent to the affiliate 's own opted-in, legitimate subscriber lists.
